LIST OF
DIRECTORS AND THEIR DUTIES

1 |
There shall be
a maximum of eleven Directors serving on the board. |
|
2 |
There shall be
a minimum of four Directors serving on the board. |
|
3 |
The members of
the Society may, in accordance with the by-laws, nominate,
elect or appoint Directors. |
|
4 |
A Director of
the Society must act in good faith and in the best interests
of the Society and exercise the care, diligence and skill of
a reasonably prudent person when performing duties. |
|
5 |
The Directors
must manage, or supervise the management of, the affairs of
the Society and may exercise all the powers of the Society. |
|
6 |
The Directors
must act in accordance with the by-laws of the Society set
forth in Schedule B of the Societies Act dated February 18th
2001. |
